TERMS OF SERVICE
✦ GENERAL
1. By purchasing either illustrations, sketches, or designs from me, you agree that you have read and understood the rules and will abide by them.
2. Failure to follow any rule can result in getting warned or blocked immediately.
3. Time zone is GMT-6.
4. I normally work on a first-come, first-served basis. But depending on the complexity of each work and my schedule, your order may be finished earlier or later.
5. You must be authorized to make online payments to place an order. No refund requests will be accepted.
6. You must be 18+ and legally able to engage in an agreement or have a legal guardian to make the agreement on your behalf to purchase a commercial license.
7. None of my illustrations shall be used for AI training or blockchain-related technologies such as NFT or cryptocurrency or any related future inventions under any circumstances.
8. I reserve the right to decline an order without explanation.Once each draft is confirmed, further adjustments regarding the previous step will not be accepted. So please be mindful before confirming any draft.
9. I do not usually accept changes that are related to the art style itself. You can ask, but even if I decline, please don't be offended.
10. Transparent backgrounds and non-watermarked illustrations/designs are only available for those who purchased a commercial use license. You must let me know beforehand if you wish for any of these.
11. You have 5 days to make revisions to each draft. Once the deadline is over, I will proceed as it is, and you will not be able to adjust the draft any further.
12. You are not allowed to modify or make changes to any commissioned work without my permission.
✦ PAYMENT
All payments shall be made within a week of the proposal's delivery. The payment may be made in two manners and upon negotiation,1. Two invoices will be provided to you: one (50% of the payment / "Advance Payment") after acceptance of your order, and the other one (remaining 50% of the payment / "Deferred Payment" ) before the delivery of the final illustration files.
2. The payment shall be made at once after acceptance of your order and before the delivery of the first draft. No payment plans will be acceptable, and you are obliged to pay the full amount at once and all.The first option is only applicable when the total amount exceeds 300 USD.
If you miss the payment deadline of 10 days without any explanation, you will be responsible for paying 10% of the total amount. Please contact me in case you need more time with a proper explanation.
For all additional payments, I will send an invoice separately.
✦ COPYRIGHT
a. Ownership.
1. None of my creative work is “work made for hire.”
2. Illustrations, drafts, preliminary sketches, or other materials created and developed by me in connection with the performance of the commissions under this Agreement and any resulting intellectual property rights, including all reproduction rights, licensing rights, showcasing the Commissioned Work, and the ability to assert statutory copyright globally are my sole and exclusive property.
3. Even in the event that the Commission is canceled midstream, I will still have my copyright reserves.
4. All commissioned work with a commercial license purchased includes an exclusive right.
5. You cannot distribute, transfer, or resell the commercial license/right to anyone else.b. Personal use vs Commercial use.
All my illustrations, sketches, and designs are only available for personal purposes with non-transferable rights. In case of using it for commercial or promotional purposes, you must discuss it with me beforehand. Either way, when publishing it, credit will be required (any of my social media links or usernames.) No commercial license grants you the right to use my work without giving credit.1. Personal use: using the character design or illustration as your social media icon/banner, your device wallpaper, printing it out only for yourself, role-playing, and sharing it on non-promotional accounts.
2. Commercial use: using the character design or illustration as branding assets, promotional assets (e.g., thumbnails, Vtuber art, video assets, etc.), Vtuber models, and merchandise production (prints, stickers, postcards, keychains, stands, etc.). Utilizing the character design or illustration in any way that you will profit from monetarily (promotion included).✧ Further information related to "commercial use"
1. Fees vary depending on the usage of the work and the scale of your business.
2. If your order includes a VTuber character either pre-debut or streaming, you must purchase a commercial license, and it will particularly fall under "Commercial: Streaming / content use," even if it's not specifically aimed to be used for commercial or promotional purposes.
✦ INFRINGEMENT & GUARANTY
Descriptions and visual references supplied by you for carrying out the commissions must be created by yourself or you must have secured all required permissions from the material's copyright holder. In the event that I use any materials you provided, you agree to hold me harmless from any and all claims, costs, and expenditures, including legal fees.
